Terms of Service

These Terms of Service (the "Terms") govern your use of the Flowesce platform, located at flowesce.com and at any subdomains we operate (collectively, the "Service"). The Service is provided by Songer Technologies Pte. Ltd., a Singapore-incorporated company trading as Flowesce ("Flowesce," "we," "us," "our").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Flowesce is software for appointment-based businesses such as salons, lash studios, medspas, and wellness practices. It provides booking, scheduling, inventory tracking, expense tracking, client management, reporting, and related features. Specific features depend on the subscription plan you choose.

We are continuously improving the Service. Features may be added, changed, or removed. We will not remove material functionality from a paid plan without reasonable notice.

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your password, for all activity that occurs under your account, and for the actions of anyone you invite into your workspace.

If you invite team members (managers, receptionists, bookkeepers, staff) into your workspace, you are responsible for setting their roles and permissions appropriately and for their compliance with these Terms.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

Paid plans renew automatically at the end of each billing period (monthly or annual) until you cancel. You can cancel at any time from the billing settings page. Cancellation takes effect at the end of the current paid period.

Prices are listed on the pricing page and in your billing settings. We may change prices for future billing periods by giving you at least 30 days' notice. If you do not accept a price change, you can cancel before the change takes effect.

Founding-member pricing is governed by the program rules on the pricing page and in the welcome materials sent to founding members. Founding pricing applies for the life of continuous subscription, with a 30-day grace period after a failed payment to preserve the rate.

Free trials are non-refundable and do not require payment to start. After your trial ends, admin access pauses until a subscription is started. Your salon's public booking page, customer data, and bookings remain live regardless of admin access state.

Except where required by law, fees paid are non-refundable. We may, at our sole discretion, issue refunds in unusual cases.

You agree not to:

• Use the Service to violate any applicable law or the rights of others.
• Send spam, phishing, or other unsolicited or unlawful messages through the Service, including through the email features.
• Upload content that is illegal, infringing, harmful, or grossly offensive, including personal information of a third party without that person's consent.
• Attempt to gain unauthorized access to the Service, other accounts, our infrastructure, or any related system.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits.
• Use automated means to scrape, crawl, or harvest information from the Service beyond what our public API or feeds provide.
• Resell, sublicense, or commercially exploit the Service except as expressly permitted by your subscription.

We may suspend or terminate accounts that violate these rules.

You retain all rights to the information you and your team upload to Flowesce, including business information, client records, photos, and notes ("Your Data"). You grant us a worldwide, non-exclusive, royalty-free license to process, store, copy, transmit, and display Your Data solely for the purpose of providing and operating the Service.

You are responsible for ensuring that you have the rights and consents necessary to upload any personal information about clients or third parties. Where applicable, you are the data controller of client information and we act as data processor on your behalf.

On cancellation, you can export your data via the export tools in the app. We delete cancelled workspaces within 30 days of the cancellation effective date, except for the limited exceptions described in our Privacy Policy.

Flowesce, including its software, branding, design, and documentation, is owned by Songer Technologies Pte. Ltd. and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with your subscription.

If you provide feedback or suggestions about the Service, we may use that feedback without restriction and without compensating you.

We may suspend or terminate your access to the Service at any time if you materially breach these Terms, if your account is past due on payment for more than 30 days, or if we are required to do so by law. Where reasonable, we will give you prior notice and a chance to cure the breach.

You can cancel your subscription at any time from the billing settings. Sections of these Terms that by their nature should survive termination will survive (for example, payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law).

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that any data will be preserved without loss.

To the maximum extent permitted by law, neither Flowesce nor its officers, directors, employees, or agents will be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred Singapore dollars (SGD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Flowesce and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including any right of privacy or intellectual property, or (d) Your Data.

We may change the Service or these Terms from time to time. For material changes to the Terms, we will provide notice by email and update the effective date at the top of this page. If you continue to use the Service after the change takes effect, you accept the updated Terms. If you do not accept them, your remedy is to stop using the Service and cancel your subscription.

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms or the Service shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of SIAC for the time being in force. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

These Terms, together with the Privacy Policy and any additional terms referenced in the Service, are the entire agreement between you and Flowesce about the Service and supersede any prior agreements. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce a right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
